Welcome to ActPath (“ActPath”, “we”, “our”, or “us”), a software platform owned and operated by IAPS Inc..
These Terms and Conditions (“Terms”) govern your access to and use of the ActPath website located at
https://www.actpath.com,
the ActPath web application located at
https://app.actpath.com,
and all related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
1. Eligibility
You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service.
By using ActPath, you represent that:
- you have the legal authority to enter into this agreement;
- the information you provide is accurate and current; and
- you will comply with all applicable laws while using the Service.
2. Your Account
You are responsible for maintaining the confidentiality of your login credentials.
You agree to:
- provide accurate registration information;
- keep your password secure;
- promptly notify us of unauthorized access to your account; and
- accept responsibility for all activities that occur under your account.
You may not share your account except where expressly permitted by the Service.
3. Electronic Communications
By creating an account or using the Service, you consent to receive communications from IAPS Inc. electronically.
These communications may include:
- account notifications;
- security alerts;
- service announcements;
- billing and subscription notices;
- legal notices;
- updates to the Service; and
- other information related to your use of ActPath.
Communications may be delivered by email, through the Service, or by other electronic means.
You agree that electronic communications satisfy any legal requirement that such communications be provided in writing.
You are responsible for maintaining a valid email address associated with your account.
4. Trial Accounts
ActPath may offer free trial access.
Trial accounts may have feature limitations and may expire automatically.
After the trial period ends, continued access may require:
- purchasing a personal subscription; or
- receiving access through an eligible sponsored subscription.
We reserve the right to modify or discontinue trial offerings at any time.
5. Subscriptions and Billing
Certain features require a paid subscription.
Unless otherwise stated:
- subscriptions renew automatically until cancelled;
- fees are non-refundable except where required by law; and
- you authorize us or our payment processor to charge your payment method.
Failure to pay may result in suspension or termination of access.
6. Sponsored Access
Organizations or workspace owners may sponsor user access.
- Sponsored access may be modified or revoked at any time.
- Loss of sponsored access does not transfer ownership of organizational data.
7. User Content
You retain ownership of content you upload or create within ActPath.
This includes, but is not limited to:
- Opportunities
- Companies
- Contacts
- Notes
- Files
- Comments
- Workflow information
- Custom fields
- Attachments
You grant IAPS Inc. a limited, worldwide, non-exclusive, royalty-free license to host,
process, store, transmit, reproduce, and display your content solely to provide,
maintain, secure, support, and improve the Service.
8. Acceptable Use
You agree not to:
- violate applicable laws;
- upload malicious software;
- attempt unauthorized access;
- reverse engineer the Service except where permitted by law;
- use the Service to distribute spam;
- upload unlawful or infringing content; or
- scrape or harvest data without authorization.
9. Prohibited Content
You may not upload or transmit content that:
- is unlawful;
- infringes intellectual property rights;
- contains malware or malicious code;
- is fraudulent or deceptive;
- contains spam or phishing attempts;
- is defamatory, abusive, hateful, or threatening;
- exploits minors;
- contains unlawful obscene or excessively violent material;
- violates another person’s privacy or rights; or
- interferes with the operation or security of the Service.
IAPS Inc. may remove content, suspend accounts, or terminate access where we reasonably
believe these Terms have been violated.
Users remain solely responsible for their content.
10. Organizational Data
- Workspace owners determine membership and permissions.
- Workspace owners may access organizational data.
- Users should not expect privacy from workspace administrators regarding workspace content.
11. Workspace Data Ownership
Unless otherwise agreed in writing, data created within a shared workspace is considered
the property of the workspace owner or organization controlling that workspace.
Workspace data includes:
- Opportunities
- Companies
- Contacts
- Notes
- Tasks
- Comments
- Files
- Custom fields
- Workflow configurations
- Other workspace records
Workspace administrators may:
- access workspace data;
- modify or delete data;
- export data;
- transfer ownership of records;
- manage users; and
- manage permissions.
If your access to a workspace ends, you may lose access to its data.
Removal from a workspace does not entitle you to copies of workspace data unless
authorized by the workspace owner or required by law.
IAPS Inc. claims no ownership of customer data and processes it only to provide,
maintain, secure, and improve the Service.
12. Intellectual Property
ActPath, including its software, branding, trademarks, documentation,
design, and related content, is owned by IAPS Inc. or its licensors and
is protected by intellectual property laws.
You may not copy, reproduce, distribute, modify, sell, sublicense,
or create derivative works from the Service without permission.
13. Availability
We strive to keep the Service available but do not guarantee uninterrupted
or error-free operation.
14. Third-Party Services
The Service may integrate with third-party products or websites.
Your use of those services is governed by their own terms and privacy policies.
15. Data Backup
Although operational backups are performed, you remain responsible for
maintaining copies of important information.
16. Privacy
Our collection and use of personal information is governed by our
Privacy Policy.
17. Suspension and Termination
We may suspend or terminate your account if you:
- violate these Terms;
- engage in fraudulent or unlawful activity;
- create security risks;
- fail to pay applicable fees; or
- misuse the Service.
Deleting your data does not automatically delete your account.
Account deletion requests must be submitted to IAPS Inc.
18. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW,
IAPS INC. DISCLAIMS ALL WARRANTIES,
INCLUDING MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE,
AND NON-INFRINGEMENT.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW,
IAPS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, CONSEQUENTIAL, SPECIAL,
OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY SHALL NOT EXCEED
THE FEES PAID BY YOU DURING THE PRECEDING
TWELVE MONTHS.
20. Indemnification
You agree to indemnify and hold harmless IAPS Inc.,
its employees, officers, affiliates, licensors,
and agents from claims arising from your use
of the Service or violation of these Terms.
21. Changes to the Service
We may modify, remove, or discontinue features,
pricing, or functionality at any time.
22. Changes to These Terms
These Terms may be updated periodically.
Continued use of the Service constitutes acceptance
of the revised Terms.
23. Governing Law
These Terms are governed by the laws of the Province of Ontario
and the federal laws of Canada applicable therein.
24. Severability
If any provision is found unenforceable,
the remaining provisions remain in effect.
25. Entire Agreement
These Terms, together with the Privacy Policy,
constitute the entire agreement between you
and IAPS Inc. regarding the Service.
