ActPath End User License Agreement
Effective Date: August 8, 2026
This End User License Agreement (“EULA”) is a legal agreement between you (“you” or “User”) and IAPS Inc., an Ontario, Canada corporation (“IAPS,” “we,” “us,” or “our”), governing your use of the ActPath mobile application (“ActPath,” the “App”).
By downloading, installing, accessing, or using ActPath, you agree to be bound by this EULA. If you do not agree to these terms, do not download, install, or use the App.
1. License Grant
Subject to your compliance with this EULA, IAPS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use ActPath on an Apple-branded device that you own or control, solely for your personal or authorized business purposes.
This license does not transfer ownership of ActPath or any intellectual property rights to you.
2. Eligibility and Account
You must provide accurate information when creating and maintaining your ActPath account and are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity conducted through your account and for ensuring that your use of ActPath complies with applicable laws and regulations.
If you use ActPath on behalf of an organization or workspace, you represent that you have authority to accept this EULA and use the App on behalf of that organization.
3. Subscriptions and Payments
ActPath may provide access to certain features and functionality through paid subscriptions.
Subscriptions purchased through the Apple App Store are processed by Apple and are subject to Apple’s applicable payment and subscription terms.
Where a subscription is purchased through Apple’s In-App Purchase system:
- Payment will be charged to your Apple ID account upon confirmation of purchase.
- Your subscription will automatically renew unless automatic renewal is turned off at least 24 hours before the end of the current subscription period.
- Your account will be charged for renewal within 24 hours before the end of the current subscription period.
- You can manage or cancel your subscription through your Apple ID account settings.
- Deleting the ActPath App does not automatically cancel an active subscription.
ActPath may offer a 14-day free trial for eligible users. The availability and specific terms of any free trial will be presented to you at the time you initiate the trial.
Unless otherwise stated at the time of enrollment, when a free trial ends, your selected subscription may automatically begin and your payment method may be charged through Apple’s In-App Purchase system.
IAPS reserves the right to change subscription pricing, subject to applicable law and any notice requirements imposed by Apple or applicable regulations.
4. Use of ActPath
ActPath is a collaborative job-tracking and workflow platform that allows users and organizations to manage opportunities, companies, contacts, workflows, and related workspace information.
You may use ActPath only for lawful purposes and in accordance with this EULA and the ActPath Terms & Conditions.
You agree not to:
- Use ActPath for any unlawful, fraudulent, or unauthorized purpose;
- Attempt to gain unauthorized access to another user’s account, workspace, or data;
- Interfere with or disrupt the operation or security of ActPath;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent expressly permitted by applicable law;
- Copy, modify, distribute, sell, lease, sublicense, or commercially exploit the App except as expressly permitted by IAPS;
- Remove or alter copyright, trademark, or other proprietary notices;
- Use automated systems to access ActPath in a manner that places an unreasonable burden on the service;
- Upload malicious code, viruses, or other harmful material; or
- Use ActPath in a manner that violates applicable law or the rights of others.
5. User and Workspace Data
You retain ownership of the information, files, documents, comments, links, records, and other content that you submit to ActPath (“User Data”), subject to the rights and permissions necessary for IAPS to operate and provide the service.
For workspace-based use, ownership and control of Workspace Data may be determined by the applicable workspace owner, administrator, organization, or other authorized party.
You grant IAPS a limited, worldwide, non-exclusive license to host, store, reproduce, process, transmit, and otherwise use User Data solely as reasonably necessary to provide, maintain, secure, and improve ActPath and to comply with applicable law.
You are responsible for ensuring that you have all rights, permissions, and consents necessary to submit User Data to ActPath.
IAPS does not claim ownership of your User Data merely because you use ActPath.
6. Privacy
Your use of ActPath is also governed by the ActPath Privacy Policy, available at:

The Privacy Policy describes how IAPS collects, uses, stores, and protects information associated with your use of ActPath.
7. Intellectual Property
ActPath, including its software, design, interface, features, graphics, logos, trademarks, documentation, and other components, is owned by or licensed to IAPS and is protected by applicable intellectual property laws.
Except for the limited license expressly granted in this EULA, IAPS retains all rights, title, and interest in and to ActPath.
“ActPath,” “ACTPATH,” and related logos and branding are trademarks or intellectual property of IAPS Inc., where applicable.
8. Third-Party Services
ActPath may rely upon or integrate with third-party services, infrastructure, or platforms, including services used for payment processing, data storage, hosting, authentication, analytics, or other functionality.
Third-party services may be subject to their own terms and privacy policies. IAPS is not responsible for third-party services to the extent permitted by applicable law.
9. Apple App Store Terms
You acknowledge and agree that this EULA is between you and IAPS and not Apple Inc. (“Apple”).
Apple has no obligation to furnish maintenance or support services with respect to ActPath.
To the extent ActPath fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the applicable purchase price, if any, in accordance with Apple’s applicable terms. To the maximum extent permitted by applicable law, Apple will have no further warranty obligation with respect to ActPath.
Apple is not responsible for addressing any claims relating to ActPath, including claims relating to product liability, consumer protection, privacy, or intellectual property infringement, except as required by applicable law.
In the event of any third-party claim that ActPath or your possession and use of ActPath infringes a third party’s intellectual property rights, IAPS, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim, to the extent required by this EULA and applicable law.
Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
You represent that you are not located in a country subject to a Canadian or United States government embargo or designated as a “terrorist supporting” country, and that you are not listed on any applicable government list of prohibited or restricted parties.
10. Disclaimer of Warranties
To the maximum extent permitted by applicable law, ActPath is provided on an “as is” and “as available” basis.
IAPS does not warrant that:
- ActPath will always be available or uninterrupted;
- ActPath will be error-free or completely secure;
- ActPath will meet every particular requirement or expectation;
- Information provided through ActPath will always be complete or accurate; or
- Defects or errors will always be corrected.
Nothing in this EULA excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.
11. Limitation of Liability
To the maximum extent permitted by applicable law, IAPS and its directors, officers, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to your use of ActPath.
To the maximum extent permitted by applicable law, IAPS’s total liability arising out of or relating to ActPath or this EULA will be limited to the greater of:
- the amounts you paid to IAPS for ActPath during the twelve (12) months immediately preceding the event giving rise to the claim; or
- CAD $100.
These limitations do not apply where prohibited by applicable law.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless IAPS and its directors, officers, employees, affiliates, and service providers from claims, liabilities, damages, losses, and expenses arising from:
- Your misuse of ActPath;
- Your violation of this EULA;
- Your violation of applicable law or the rights of another person; or
- User Data that you submit to ActPath.
13. Suspension and Termination
IAPS may suspend or terminate your access to ActPath if you materially violate this EULA, engage in unlawful or abusive conduct, or otherwise use ActPath in a manner that may harm IAPS, other users, or the service.
You may stop using ActPath at any time.
Termination or suspension of your account or access does not necessarily terminate obligations that by their nature should survive termination, including provisions relating to intellectual property, User Data, disclaimers, limitations of liability, indemnification, and governing law.
Subscription cancellation is handled separately through the applicable subscription provider, including Apple for subscriptions purchased through the App Store.
14. Updates and Changes to ActPath
IAPS may modify, update, improve, suspend, or discontinue portions of ActPath at any time, subject to applicable law.
IAPS may also release updates to the App. You agree that Apple or your device may automatically download and install updates where permitted by your device settings.
Certain updates may be necessary for continued use of ActPath.
15. Electronic Communications
By using ActPath, you consent to receiving electronic communications from IAPS relating to your account, subscriptions, security, service operation, transactions, and other matters relating to your use of ActPath.
Electronic communications may include notices, disclosures, agreements, and other information provided through the App, email, or other electronic means.
You agree that electronic communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.
16. Governing Law
This EULA is governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.
Subject to any mandatory consumer protection rights or other requirements imposed by applicable law, the courts located in Ontario, Canada will have jurisdiction over disputes arising from or relating to this EULA or your use of ActPath.
17. Changes to This EULA
IAPS may update this EULA from time to time. When changes are made, IAPS may provide notice through ActPath, its website, or other reasonable means.
Your continued use of ActPath after the effective date of an updated EULA constitutes acceptance of the updated terms, to the extent permitted by applicable law.
18. Severability
If any provision of this EULA is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
This EULA, together with the ActPath Privacy Policy, ActPath Terms & Conditions, and any additional terms presented to you in connection with specific features or services, constitutes the agreement between you and IAPS concerning your use of ActPath, except where additional contractual terms expressly apply.
